This Disclaimer is issued by Ultralayer Limited, a company incorporated in Hong Kong SAR (“Ultralayer,” “we,” “us,” or “our”). It applies to our websites, web app, developer console, APIs, SDKs, MCP tools and plugins, alerts, documentation, and related services (collectively, the “Services”). It forms part of our Terms of Service.
1. Not financial advice
Ultralayer is not a broker-dealer, investment adviser, commodity trading advisor, bank, or other financial institution. We are not licensed by the Securities and Futures Commission of Hong Kong. We are not registered with the U.S. Securities and Exchange Commission or the U.S. Commodity Futures Trading Commission as a broker-dealer, investment adviser, or commodity trading advisor. We are not authorized or regulated as a financial-services firm by any other regulator, as applicable. We do not provide investment, trading, tax, legal, or other professional advice. Nothing in the Services is a personalized recommendation, a solicitation to buy or sell any security or other instrument, or an offer of any financial product in any jurisdiction.
The Services provide data and context. Any decision — including a decision made by an AI you use — is yours. You are solely responsible for any action you take, or do not take, using the Services.
2. No fiduciary relationship
Use of the Services does not create a fiduciary, advisory, or client relationship between you and Ultralayer. We do not know your financial situation, investment objectives, or risk tolerance, and we do not tailor outputs to you as an individual.
3. Outputs can be wrong
Outputs may be generated or transformed by automated systems, including large language models. They can be wrong, incomplete, delayed, misattributed, or hallucinated. Filings extracts, guidance, wording changes, scores, classifications, impact estimates, sentiment, novelty labels, signals, stakeholder rankings, entity packages, and similar fields can omit context or misstate a source. You must independently verify material facts before relying on them.
Scores and similar fields are not price targets, ratings, valuations, or forecasts you should act on.
4. Data quality and third-party sources
The Services aggregate and transform information from public and third-party sources. That information may be delayed, incomplete, inaccurate, or subsequently corrected. We do not warrant that any record is current, complete, or suitable for a particular use.
5. Alerts
Alerts notify you of matching results according to criteria you set. An alert is not a recommendation to buy, sell, or hold any instrument. We have no duty to send an alert, to send it promptly, or to update or correct a prior alert.
6. Historical and as-of results
Historical, as-of, and backtested results are not a prediction of future performance and are not a track record. They can differ from live results. Past observations are not indicative of future results.
7. Showing outputs to others
You may use the Services for your own research and analysis, including through your own AI tools. Making outputs available to your end users, customers, or the public requires our prior written approval. See Terms of Service §12. If we approve, you must still display a clear notice that the information is not investment advice, and you must not present those outputs as personalized recommendations. You remain responsible for how your product uses the Services.
